CTO's friend is failing upward and causing everyone to leave Pay is way below market value and there's no 401k match.

Very little forward mobility in progressing your career. Zero management skills from leaders - a lot of managers pretending to know what they are doing. Low pay, bad benefits - no equity for a "start up"
